Terms of Service

1. Acceptance of Terms

By accessing or using AIGov (the "Service"), a product of Technostica, you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree, do not use the Service.

2. Description of Service

AIGov is a cloud-based AI governance platform that provides AI-powered intake, multi-stage review workflows, tech inventory management, governance dashboards, and audit logging for organizations managing AI and technology adoption. The Service is provided on a software-as-a-service (SaaS) basis.

3. Account Registration

To use the Service, you must create an account using Google SSO. You are responsible for maintaining the security of your account and for all activities that occur under your account. You must provide accurate and complete information during registration and keep your account information up to date. You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

Use the Service in any way that violates applicable laws or regulations
Attempt to gain unauthorized access to any part of the Service or its related systems
Interfere with or disrupt the Service or servers connected to the Service
Circumvent rate limits or other usage restrictions
Upload malicious code, viruses, or harmful content
Use the Service to store or transmit content that infringes intellectual property rights
Reverse-engineer, decompile, or disassemble any part of the Service
Use automated systems (bots, scrapers) to access the Service without our written consent

5. Your Data

You retain ownership of all data you submit to the Service ("Your Data"). By using the Service, you grant us a limited, non-exclusive license to process, store, and display Your Data solely to provide and improve the Service. We will not access Your Data except as necessary to provide the Service, prevent or address technical issues, or as required by law.

6. AI-Generated Content

The Service uses AI models to generate intake summaries, queue routing suggestions, and other outputs. AI-generated content is provided for informational purposes and to assist your governance process. You are responsible for reviewing and validating all AI-generated content before relying on it for decision-making. We do not guarantee the accuracy, completeness, or fitness of AI-generated outputs.

7. Subscription & Billing

The Service is offered under multiple plans as described on our Pricing page. Free plan users are subject to usage limits. Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days notice. Failure to pay may result in suspension or termination of your account.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance with reasonable advance notice. We are not liable for any downtime, data loss, or service interruptions caused by factors beyond our reasonable control.

9. Intellectual Property

The Service, including its design, features, code, documentation, and branding, is owned by Technostica and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or brand features without prior written consent.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TECHNOSTICA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT IT WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

12. Indemnification

You agree to indemnify, defend, and hold harmless Technostica and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your access to the Service immediately if you breach these Terms or engage in conduct that we reasonably believe is harmful to other users, us, or third parties. Upon termination, your right to use the Service ceases immediately. You may request export of Your Data within 30 days of termination.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.
